Liquidibee, LLC is an alternative working capital provider. In connection with the provision of the Liquidibee, LLC, merchants are required to submit financial and other information regarding their business. Liquidibee, LLC uses this information as part of the criteria in its purchase decisions and to monitor the performance of Liquidibee, LLC customers on an on-going basis. Merchants may provide such information including, but not limited to, copies of their business checking account statements electronically, in paper form, or by enabling view-only access to their online banking account.
Accepting these terms and conditions
By your acceptance, you agree to be bound by these terms and conditions. You acknowledge that by accepting these terms and conditions, you are authorizing Liquidibee, LLC to access information about you and your company to determine eligibility for a business loan. You must read these terms and conditions in their entirety and indicate your acceptance. You may not use this service and you may not accept these terms and conditions if you are under 18 years of age or if you are not a citizen of the United States. If you accept these terms and conditions, you acknowledge that you have the capacity to be bound by them or if you are acting on behalf of a client that you have the authority to bind such entity. Assignment
These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Liquidibee, LLC without restriction or limitations.
Proprietary rights
You are permitted to use content delivered to you through the Service only on the Service. You may not copy, reproduce, distribute, or create derivative works from this content. Rights granted to Liquidibee, LLC
Liquidibee, LLC may use your account information to use, display, distribute, and create new material using such account information. By submitting account information, you represent that you are the owner of the account information and are entitled to submit it to Liquidibee, LLC for use for this purpose. You hereby authorize Liquidibee, LLC to contact any credit reporting or database service, Merchant's current, prior or third party card processors, and Merchant's current and prior banks so that Liquidibee, LLC may obtain whatever information Liquidibee, LLC determines is necessary to review merchant's application or to monitor and maintain merchant's account. Such information may include, without limitation, merchant's credit history, credit card, debit card and other payment card and instrument processing history (including, without limitation, merchant's chargeback history), as well as any other information Liquidibee, LLC deems pertinent. You hereby authorize your credit card, debit card and/or payment card processor or its designated POS processor to forward on a daily basis to any third party designated by Liquidibee, LLC all electronic payment transaction records that your acquiring institution or your designated POS processor captures on your behalf (including, but not limited to, activity on Visa, MasterCard, American Express, Discover, Diners Club, JCB, or ATM Debit Cards and check truncation records).
Credit profile authorization
You certify that (1) you are authorized on behalf of the company whose name you have entered to sign up for Liquidibee, LLC services, (2) all information you provide is true and complete and (3) you have not omitted to disclose any information which you would reasonably believe to be material to Liquidibee, LLC decision making process and that you will notify us of material changes to such information. You understand and agree that we and our agents and assignees are authorized to contact third parties to make credit report inquiries (including requesting business and personal credit bureau reports from credit reporting agencies and other sources) or for any other lawful purpose. You also understand and agree that Liquidibee, LLC is making no commitment or guarantee that any product, evaluation, or guidance provided by Liquidibee, LLC will result in an approval for a business loan from Liquidibee, LLC or any third party. Merchant authorizes Liquidibee, LLC to obtain a credit report or background report. Any such report(s) that Liquidibee, LLC obtains may include, without limitation, the business's or individuals' credit history or similar characteristics, employment and education verifications, social security verification, criminal and civil history, Department of Motor Vehicle records, any other public records, and any other information bearing on credit standing, credit capacity or character. Such reports will be used by Liquidibee, LLC to determine eligibility for a business loan. Merchant shall also provide and/or execute such further and additional documents, instruments, and writings as Liquidibee, LLC may require in order to access and review any tax information (including tax returns) related to Merchant's business (including, without limitation, by executing a 4506T form with the Internal Revenue Service).
Electronic terms and conditions
By choosing to access Liquidibee, LLC services via internet, you hereby consent to receive by electronic means these terms and conditions and any and all disclosures and/or notices required to be given by applicable law or regulation. You also consent to allow Liquidibee, LLC to respond to any inquiries by e-mail regardless of the format of the original inquiry.
